Risk Disclosures

Read this before you commit capital.

Infrastructure investments can lose value. This page describes the material risks of using Endeleo. It is not a substitute for reading a specific project's memorandum, taking independent advice, or considering your own circumstances.

Not an offer. Nothing on this website is an offer to sell, or a solicitation to buy, any security. Any actual offering will be made only through formal documents to eligible, verified investors.

Pre-launch platform

Endeleo is pre-launch. We are actively structuring the platform with counsel and intend to operate under applicable Nigerian frameworks before onboarding investor capital. Timelines, product features, counterparties, and terms shown on this site may change materially before launch.

Capital risk

You can lose some or all of the money you invest. Infrastructure assets can underperform, be delayed, be damaged, or fail entirely. Endeleo does not guarantee principal, returns, or timing of distributions. Past performance of comparable projects is not indicative of future results.

Illiquidity

Bond-like instruments issued through Endeleo are intended to be held to maturity. A secondary market may be offered but is not guaranteed, volumes may be low, and you may not be able to sell your position at a fair price or at all before maturity.

Project delivery & counterparty risk

Each project depends on sponsors, EPC contractors, operators, offtakers, and other counterparties performing their obligations. Cost overruns, construction delays, technical failure, or counterparty default can reduce or eliminate returns.

Regulatory & legal risk

Endeleo is being structured under Nigerian law and applicable regulations. Changes in law, regulation, licensing regimes, or interpretation — including securities, tax, foreign exchange, and data protection rules — can affect the platform, individual projects, and your ability to receive returns.

Macroeconomic & FX risk

Returns can be affected by inflation, interest rates, currency movements between the Naira and other currencies, capital controls, and political events. Diaspora investors are exposed to FX conversion risk on both entry and exit.

Concentration risk

Committing a large share of your wealth to a single project, sector, or geography increases risk. Endeleo enforces per-investor concentration limits at the platform level, but you are responsible for your overall portfolio diversification.

Operational & cyber risk

Platform outages, cyberattacks, data breaches, or human error at Endeleo, custodians, or third-party service providers could delay transactions, disrupt reporting, or expose personal data.

No investment advice

Endeleo does not provide personalised investment, tax, or legal advice. Content on the platform is for information only. Consult a licensed adviser before making investment decisions.

Eligibility

Access to specific projects may be limited to investors who complete KYC, meet suitability tests, and reside in jurisdictions where the offering is permitted. Endeleo may refuse or unwind allocations that do not meet these requirements.
