The Lagos Solar Power Initiative will be Endeleo's first pilot raise. This page explains why we picked it, how the offering is being structured, and what the outcome should look like for investors, the sponsor, and Lagos State.
Why Lagos Solar
Endeleo screens for pilots where the sector, sponsor, and structure are all defensible in isolation. Lagos Solar clears all three.
Sector: distributed solar
Distributed solar in Nigeria has proven revenue models (I&C offtake, PAYG) and does not depend on grid reform to generate cash flow. That makes it a defensible first-raise sector.
Sponsor: state-anchored
Lagos State's energy roadmap explicitly leans on private capital. A state-anchored pilot signals institutional cover and shortens the political-risk conversation for diaspora investors.
Ticket-fit for retail
The offering is being sized so a $100–$500 retail ticket is meaningful. That keeps the pilot true to Endeleo's core promise: infrastructure without a private-banking gate.
How we're structuring it
The offering is designed so investor cash is never on Endeleo's balance sheet, and so a single sponsor incident cannot wipe out subscribers. The building blocks:
SPV, not co-mingled
A dedicated Nigerian SPV holds the assets and receives investor subscriptions through a segregated trustee/escrow account with a licensed custodian.
Credit guarantee under discussion
We are in early conversations with InfraCredit and comparable partners about a partial credit guarantee wrap. This is not finalised, and will be disclosed in the offering documents when it is.
Standardised diligence pack
Technical (yield, degradation, EPC), commercial (offtake, tariff, FX), and ESG diligence will be published in the data room before the raise opens. No side letters.
Quarterly reporting cadence
Sponsors publish quarterly operating and financial updates directly into the investor dashboard. Missed reporting triggers escalation clauses in the offering documents.
None of the partners referenced above have signed binding agreements. Any final structure — including credit guarantee, custodian, and trustee — will be disclosed in the formal offering documents at launch.
What success looks like
For investors
A first cohort of KYC-verified diaspora and domestic investors receive their first quarterly distribution on time, with reporting that matches or beats what they see from listed instruments.
For the sponsor
The sponsor demonstrates it can raise from a distributed retail base at competitive cost of capital — unlocking a replicable channel for future projects across Lagos and other states.
For Lagos State
A visible, transparent pilot where private capital moves faster than a traditional bond issuance, with reporting the state itself can point to when courting further private investment.
